Welcome to PrizeTime ("we," "us," "our," or "Company"). These Terms & Conditions ("Terms") govern your use of the PrizeTime application ("App") and all related services. By downloading, installing, or using PrizeTime, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. AGE & ELIGIBILITY

You represent and warrant that you are at least 13 years old and have the legal capacity to enter into this agreement. By creating an account, you certify that you meet these requirements. If we learn that you do not meet the age requirement, we reserve the right to terminate your account and deny you access to the App.

2. ACCOUNT REGISTRATION & RESPONSIBILITY

When you create a PrizeTime account, you are responsible for:

• Providing accurate and truthful information

• Maintaining the confidentiality of your password

• Notifying us immediately of any unauthorized access

• All activity that occurs under your account

You agree not to share your account with others or use another person's account. PrizeTime is not liable for any loss or damage arising from your failure to maintain account security.

3. HOW PRIZETIME WORKS

PrizeTime is a peer-to-peer accountability app that allows users to create and participate in screen time challenges. Here's what you need to know:

• You can create challenges and specify rewards for other users

• You can accept challenges from other users

• The App tracks screen time on your device and displays your progress

• PrizeTime maintains a ledger to record challenge outcomes and rewards

Important: PrizeTime is a personal accountability and record-keeping tool only. It is not a gambling platform, wagering system, or financial service.

4. WHAT PRIZETIME DOES NOT DO

PrizeTime does NOT:

• Verify or validate screen time data or goal completion

• Arbitrate, mediate, or resolve disputes between users

• Enforce reward delivery or ensure that rewards are paid

• Process, transfer, or handle money or payments

• Take responsibility for the accuracy of device data from Apple's Screen Time API

• Guarantee the availability or reliability of the App

Any disputes about whether a challenge was completed, whether a reward was earned, or whether a reward was delivered are the sole responsibility of the users involved. We encourage you to resolve disagreements directly with the other user(s) in the challenge.

5. PROHIBITED ACTIVITIES

You agree not to use PrizeTime to:

• Create challenges that promote self-harm, suicide, eating disorders, or any dangerous behavior

• Harass, bully, threaten, intimidate, or abuse other users

• Offer rewards for illegal activities

• Exploit, abuse, or solicit anyone under 18

• Impersonate another person or create fraudulent accounts

• Attempt to hack, reverse-engineer, or disable the App or its systems

• Spam, flood, or send unsolicited messages

We reserve the right to suspend or terminate your account immediately if you violate these prohibitions. We may also report illegal activity to law enforcement.

6. PRIVACY & DATA

Your privacy is important to us. Please review our separate Privacy Policy for complete details on what data we collect, how we use it, and how we protect it. Key points:

• We collect account information: name and email address

• We do NOT collect raw screen time data. Screen time events are stored on your device only.

• We store challenge goals, outcomes, and ledger entries on secure servers

• When you delete your account, personal data is deleted within 30 days. Challenge history may be retained for 90 days to resolve disputes.

• We do not sell your data to third parties

By using PrizeTime, you consent to our collection and use of data as described in our Privacy Policy.

7. INTELLECTUAL PROPERTY

PrizeTime, including all logos, design, text, and features, is owned by Kickit Labs, LLC and protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or reproduce any part of the App without our written permission.

Any content you create in the App (challenge descriptions, rewards, comments) remains your property. By posting content, you grant PrizeTime a non-exclusive, worldwide license to display and use that content for the purpose of operating the App.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIZETIME IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE APP IS ACCURATE, RELIABLE, UNINTERRUPTED, OR ERROR-FREE.

WE ARE NOT LIABLE FOR:

• Loss of data, access, or account information

• Inaccuracy, unavailability, or errors in screen time data

• Disputes, disagreements, or conflicts between users

• Failure of another user to complete a challenge or deliver a reward

• Your reliance on challenges, outcomes, or other user content

• Interruption, unavailability, or technical issues with the App

• Unauthorized access to your account or data

• Any indirect, incidental, consequential, or punitive damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO PRIZEZEIT IN THE PAST 12 MONTHS (IF ANY). SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

9. ACCOUNT TERMINATION & DATA RETENTION

You may delete your account at any time through the App settings. When your account is deleted:

• Your profile and personal data will be deleted within [30 DAYS]

• Challenge history and outcomes involving other users may be retained for [90 DAYS] to allow dispute resolution

• If a dispute is pending, we may retain relevant data until the dispute is resolved

We may terminate your account if:

• You violate these Terms

• You engage in illegal or harmful behavior

• You fail the age verification process

• You are inactive for [1 YEAR] or more [OPTIONAL]

We may also delete inactive accounts and associated data after [2 YEARS] of inactivity. You will receive email notice before deletion, if practical.

10. CHANGES TO THE APP & THESE TERMS

We may update, modify, or discontinue the App or these Terms at any time. If we make material changes to the Terms, we will notify you via email or in-app notification. Your continued use of the App after such changes means you accept the new Terms. If you do not accept the updated Terms, please stop using the App.

We are not liable for any loss or damage caused by updates, modifications, or discontinuation of the App.

11. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by and construed in accordance with the laws of California, without regard to its conflict of law principles.

Any disputes arising from or related to these Terms or the App shall be resolved exclusively through:

1. Informal Resolution: You agree to contact us first at [email protected] to attempt to resolve any dispute in good faith within 30 days.

2. Binding Arbitration: If informal resolution fails, you and PrizeTime agree to submit to binding arbitration under the American Arbitration Association rules. Arbitration will occur in Los Angeles, CA or remotely. Each party bears its own attorney fees and costs, unless otherwise required by law.

3. Exceptions: Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access.

You agree you will not bring class action or representative lawsuits against PrizeTime.

13. SEVERABILITY

If any portion of these Terms is found to be invalid or unenforceable, that portion shall be severed, and the remaining portions shall remain in full force and effect.

14. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PrizeTime regarding your use of the App. These Terms supersede all prior agreements and understandings.
